1. Definitions

Refers to Vindula, a multi-tenant corporate platform accessible via web and mobile apps.
User:
Natural person affiliated with a contracting company who uses the platform.
Client/Contracting party:
Legal entity that hires the platform services for its employees.
Vindula:
Vindula Internet Ltda., provider company of the platform and services.
2. Acceptance of the Terms
By accessing and using the Vindula platform, you fully agree to these Terms of Use. If you do not agree with any provision, you must immediately stop using the platform.
Important:
Contractual binding: These terms are binding and have contractual force.
Updates: Continued use of the platform implies acceptance of any updates.
Recommendation: We recommend periodically reviewing these terms.
3. Service Description
Vindula is a corporate platform for communication, knowledge, and governance that provides:

4. User Responsibilities

Support: Provide technical support according to the contracted plan.
Updates: Perform periodic updates and improvements to the platform.
Compliance: Maintain compliance with LGPD and applicable regulations.
6. Privacy Policy
Data protection is fundamental to Vindula. Our full Privacy Policy is available separately and details how we collect, use, and protect your information.

7. Intellectual Property
All intellectual property rights of the Vindula platform, including but not limited to software, design, trademarks, logos, and content, belong exclusively to Vindula Internet Ltda. or its licensors.
User Content
• The user retains ownership of their original content.
• By publishing content, the user grants Vindula a license to host and process the content.
• This license is limited to what is necessary to provide the services.
• User content remains confidential under contractual terms.
8. Payment and Billing
Payment terms, amounts, and billing methods are established in the specific contract signed between Vindula and the contracting company.
General Policies
• Billing: Performed according to the contracted plan (monthly, quarterly, or annual).
• Adjustments: Applied annually according to the index defined in the contract.
• Delinquency: May result in access suspension after 30 days.
• Cancellation: Must be requested in advance as per contract.
• Refund: As per the specific policy of the contracted plan.
9. Limitation of Liability
Vindula will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses.
Exclusions
Vindula is not responsible for:
• User-generated content
• Interruptions caused by external factors
• Misuse of the platform
• Decisions made based on platform information
10. Changes to the Terms
Vindula reserves the right to modify these Terms of Use at any time. Changes will take effect immediately after publication on the platform.
Notice: Users will be notified of significant changes by email or through a platform notice 30 days in advance.
11. General Provisions
Governing Law: These terms are governed by Brazilian law.
Jurisdiction: The courts of São Paulo/SP are chosen to resolve disputes.
Entire Agreement: These terms constitute the entire agreement between the parties.
Severability: If any provision is invalid, the remaining provisions remain in force.
Assignment: The user may not assign their rights without Vindula's consent.
